Terms of Service for WhisperInk

Welcome to WhisperInk! These Terms of Service ("Terms") govern your use of the WhisperInk mobile application and any related services (collectively, the "Service") provided by CortexCraft ("we," "us," or "our").

By downloading, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

1. The Service

WhisperInk provides audio recording, transcription (using AI), speaker identification, file import, organization (notes, labels), and export features (TXT, SRT). The Service operates on a points-based system, with different features and usage limits available depending on your account status (Free or Subscribed).

2. License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business purposes, strictly in accordance with these Terms.

3. User Accounts

• You may need to register for an account to access certain features.
• You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.
• You agree to provide accurate and complete information when creating your account.

4. User Content & Responsibility

• You retain ownership of the audio recordings, imported files, transcriptions, notes, and labels you create or upload using the Service ("User Content").
• By using the Service, you grant us a limited license to access, use, process, and store your User Content solely for the purpose of providing and improving the Service (e.g., performing transcription, identifying speakers, generating exports).
• You are solely responsible for your User Content and ensuring it does not violate any laws, regulations, or third-party rights (including copyright and privacy). You agree not to record or upload content that is illegal, harmful, infringing, or otherwise objectionable.

5. Points System

• Use of certain features, such as transcription and potentially SRT export, consumes "Points".
• Free registered users receive a limited number of Points monthly (e.g., 100 points). Unused free points may expire or reset each month according to our policy outlined in the app.
• Subscribed users (Pro/Premium) receive a larger number of Points monthly as part of their subscription benefit (e.g., 500 or 1200 points). These points are typically reset/replenished monthly upon successful subscription renewal.
• Point values, usage rates, and reset policies are subject to change and will be communicated within the app or service description.

6. Subscriptions & Paid Features

• Certain features (like SRT export) and higher point allocations require an active paid subscription ("Pro" or "Premium").
• Subscriptions are managed and billed through the Google Play Store. By subscribing, you agree to the applicable Google Play terms and the pricing presented at the time of purchase.
• Subscriptions automatically renew unless cancelled by you through your Google Play account settings before the end of the current billing period.
• Cancellation: If you cancel your subscription, you will retain access to the paid features and points allocation until the end of the current billing period you have already paid for. No refunds are generally provided for partial billing periods.

7. Prohibited Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws.
• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Interfere with or disrupt the Service or its servers/networks.
• Upload content containing viruses or malicious code.
• Infringe upon the intellectual property rights of others.

8. Intellectual Property

The Service itself, including its software, design, text, graphics, logos, and underlying AI models (excluding your User Content), are the property of CortexCraft or its licensors and are protected by intellectual property laws.

9. Disclaimers

• THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
• WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
• AI TRANSCRIPTION AND SPEAKER IDENTIFICATION MAY CONTAIN INACCURACIES. YOU ARE RESPONSIBLE FOR REVIEWING AND VERIFYING THE ACCURACY OF TRANSCRIPTIONS FOR YOUR PURPOSES. WE ARE NOT LIABLE FOR ANY ERRORS OR OMISSIONS IN THE TRANSCRIPTION OUTPUT.
• WE ARE NOT RESPONSIBLE FOR THE LOSS OR CORRUPTION OF YOUR USER CONTENT. YOU ARE ADVISED TO MAINTAIN YOUR OWN BACKUPS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CORTEXCRAFT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

11. Termination

• You may stop using the Service at any time. You can cancel your subscription through the Google Play Store.
• We may suspend or terminate your access to the Service at any time, with or without cause or notice, particularly if you violate these Terms.
• Upon termination, your license to use the Service ends, and we may delete your account and associated User Content according to our data retention policies (refer to Privacy Policy).

12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the Service or by other means. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of USA, without regard to its conflict of law principles.
